1. Acceptance of these terms
By accessing or using the Kempian AI platform at app.kempian.ai or kempian.ai, by checking the acceptance box at checkout, or by purchasing any subscription or managed service, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the platform or purchase our services. Your acceptance is recorded with the policy version then in effect.
2. The services
Kempian AI provides (a) a self-serve AI workforce-intelligence SaaS platform (AI-assisted sourcing, matching, outreach, evaluation, scheduling and workforce operations), and (b) TalentOps 360 — a fully managed recruiting service combining the platform with a dedicated team of recruiting professionals (which may include a delivery manager, recruiter(s), credentialing/licensing specialist and payroll/operations specialist). All AI outputs are decision-support tools subject to mandatory human review; they are not automated employment decisions.
3. Permitted use
You may use the services to manage workforce demand and hiring workflows; source and evaluate candidates with AI Confidence tools under human oversight; conduct candidate outreach in compliance with CAN-SPAM, TCPA, GDPR and CASL; and integrate with approved ATS, VMS, HRIS and payroll providers. You are responsible for the accuracy and lawfulness of data you upload and for your end users' use of the services.
4. Prohibited use
You may not use the services to make fully automated employment decisions without human review; use AI Confidence scores as the sole basis for rejection or selection without documented review; share credentials with unauthorised parties; reverse-engineer the AI scoring logic; resell or sublicense the services without authorisation; or contact candidates in violation of applicable opt-out or anti-spam laws.
5. TalentOps 360 managed services
TalentOps 360 is a managed subscription, not a staffing-agency placement contract. We provide recruiting operations and personnel who perform services on your behalf; we do not guarantee any specific number of hires, time-to-fill, or placement outcomes. Our team members and any recruiters provided are personnel of Kempian / Adept AI Inc. (or its approved subcontractors), not your employees. Scope, team composition and any add-ons are as described on the pricing page and any order form or proposal. Onboarding begins after activation; team assignment is performed by our operations team.
6. Fees, billing and auto-renewal
Self-serve subscriptions (SaaS and TalentOps 360) are billed in advance via our payment processor at the price and interval selected at checkout, and auto-renew each period until cancelled. TalentOps 360 plans start at the prices shown ('starting at') and may be higher based on add-ons or a negotiated proposal. Discounts agreed via a Request for Proposal are applied through a coupon/promotion code at checkout. Taxes may apply. You authorise recurring charges to your payment method until you cancel.
7. Cancellation and refunds
You may cancel renewal at any time via the billing portal or by contacting billing@kempian.ai; cancellation takes effect at the end of the current paid period and the services continue until then. Except where required by law or expressly stated in an order form, fees are non-refundable. For TalentOps 360, any minimum term or notice period stated in your order form or proposal applies.
8. AI and employment-law compliance
The services provide AI tools to support workforce decisions. You are responsible for ensuring your use complies with applicable employment, anti-discrimination, automated-decision and data-protection laws in your jurisdiction (including, where applicable, NYC Local Law 144, IL AIVID, CO SB 205, EU AI Act and GDPR). Kempian does not provide legal advice.
9. Data, privacy and confidentiality
Your use is governed by our Privacy Policy. Tenant data is isolated under our multi-tenant architecture; you retain ownership of your workforce and candidate data; Kempian does not use your data to train the shared AI model. Each party will protect the other's confidential information. Where we process personal data on your behalf, our Data Processing terms apply (available on request).
10. Healthcare and credentialing data
Where you use the services for healthcare staffing, you are responsible for the lawful basis to share candidate health, licensure and credentialing information, and for any HIPAA or equivalent obligations applicable to you. We process such data only to provide the services and apply heightened safeguards to it.
11. Service availability
We aim for high availability but do not warrant uninterrupted or error-free operation except as set out in an applicable enterprise SLA. We may modify, suspend or discontinue features with reasonable notice.
12. Intellectual property
Kempian, Adept AI Inc. and our licensors own all rights in the platform, AI models and brand. You receive a limited, non-exclusive, non-transferable right to use the services during your subscription. You own your data and content.
13. Disclaimers and limitation of liability
The services are decision-support software provided 'as is' to the extent permitted by law. We are not liable for employment decisions made using the platform. To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees you paid for the services in the 12 months preceding the claim; neither party is liable for indirect, incidental or consequential damages.
14. Indemnity
You will defend and indemnify Kempian against claims arising from your unlawful use of the services, your data, or your end users' actions, except to the extent caused by our breach of these terms.
15. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith; failing that, disputes are subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless otherwise agreed in an order form.
16. Changes to these terms
We may update these terms; material changes take effect on the date stated in the updated version. Continued use after the effective date, or acceptance at your next checkout, constitutes acceptance of the updated terms.
